PROXY COMMUNICATIONS SUPPLEMENTAL TERMS

These Proxy Communications Supplemental Terms (the "Supplemental Terms") apply only to Customers who enable, access, or use the Proxy Communications feature of the Aroom Platform (the "Feature"). They supplement, and are incorporated into, the Aroom Customer Terms of Service (the "Main Terms") between Customer and Huespace, Inc. (d.b.a. "Aroom"). Capitalized terms not defined here have the meaning given in the Main Terms.

By enabling the Feature — including by clicking "I agree" or an equivalent control at the Feature enablement screen — Customer accepts these Supplemental Terms. If Customer does not enable the Feature, these Supplemental Terms do not apply and Customer is not bound by them.

In the event of a conflict between these Supplemental Terms and the Main Terms, these Supplemental Terms control with respect to the Feature only.

1. Definitions

  • "Proxy Number" means a telephone number provisioned or made available by Aroom (or its telecommunications providers) that masks the actual telephone number of a participant and routes calls or messages between participants.
  • "Proxy Communications" means calls, SMS/MMS messages, and other communications initiated, received, routed, relayed, or masked through a Proxy Number using the Feature.
  • "End User" means any individual who sends or receives Proxy Communications through the Feature, including Recipients, Merchant personnel, Delivery Providers, and other individuals whom Customer or its Merchants invite into a Proxy Communication.
  • "Communications Data" means data generated by or in connection with Proxy Communications, including message content, call metadata (such as date, time, duration, and the Proxy Numbers involved), call recordings, delivery and opt-out status, and consent records.
  • "Messaging Program" means the SMS/MMS messaging service made available to Customer through the Feature.
  • "Opt-In Form" means the consent collection form or flow provided or approved by Aroom for obtaining End User consent to receive Proxy Communications.

2. Scope and Enablement

A. Feature-Scoped Application

These Supplemental Terms govern only Customer's enablement and use of the Feature. Customers who do not enable the Feature remain subject solely to the Main Terms.

B. Acceptance at Enablement

Aroom will present these Supplemental Terms at the Feature enablement screen. Customer's affirmative acceptance at that screen, or Customer's use of the Feature, constitutes agreement to these Supplemental Terms. Aroom will retain a record of Customer's acceptance, including the date, time, and account credentials used.

C. Disablement

Customer may disable the Feature at any time through the Aroom Platform or by written notice to support@aroom.io. Disablement does not affect obligations that accrued before disablement or Sections that survive under Section 9(B).

3. Messaging Program Terms

Customer acknowledges and agrees to the following terms governing the Messaging Program, and agrees to disclose these terms to End Users at the point of opt-in through the Opt-In Form:

A. Program Description and Message Types

The Messaging Program delivers transactional and operational messages relating to Orders and projects, including: delivery and Order status updates; dispatch, arrival, and completion notifications; scheduling confirmations and changes; appointment and task reminders; project coordination messages between participants; and customer service responses. The Messaging Program is not a marketing or promotional messaging program, and Customer must not use it to send marketing, promotional, or advertising content.

B. Message Frequency

Message frequency varies and depends on Order and project activity. Customer must state a good-faith frequency description (for example, "message frequency varies") in its opt-in disclosures.

C. Rates

Message and data rates may apply. Charges are assessed by the End User's mobile carrier and are the responsibility of the End User. This disclosure must appear in Customer's opt-in disclosures.

D. STOP / HELP

End Users may opt out of the Messaging Program at any time by replying STOP to any message, and may request assistance by replying HELP. Aroom will honor STOP, END, CANCEL, UNSUBSCRIBE, QUIT, and HELP keywords and will send a single confirmation message following an opt-out. Customer must not attempt to re-subscribe an End User who has opted out except upon a new, affirmative opt-in obtained through the Opt-In Form. Customer must not use the Feature, or any other channel, to circumvent an End User's opt-out.

E. Consent Not a Condition

Consent to receive Proxy Communications is not a condition of any purchase or of receiving any goods or services. Customer must not condition the sale, delivery, or availability of any product or service on an End User's consent to receive messages, and must state this in its opt-in disclosures.

F. Carrier Limitations

Mobile carriers are not liable for delayed or undelivered messages. Message delivery is subject to carrier networks, filtering, and device availability, and Aroom does not guarantee that any message will be delivered, delivered on time, or delivered to any particular device. Aroom is not responsible for carrier filtering, blocking, or throttling of messages.

G. Supported Carriers and Support

The Messaging Program is available on participating carriers only. For support, End Users may reply HELP or contact Customer; Customer must maintain a support contact for End Users and identify it in the Opt-In Form.

4. Monitoring, Recording, Logging, and Storage

A. Disclosure

Customer acknowledges and agrees that Proxy Communications may be monitored, recorded, logged, and stored by Aroom and its service providers for purposes including: routing and delivering communications; quality assurance and service improvement; safety, fraud prevention, and security; support and troubleshooting; dispute resolution; and compliance with law and legal process.

B. Notice and Consent

Customer is responsible for ensuring that all End Users receive clear and conspicuous notice that Proxy Communications may be monitored, recorded, logged, and stored, and that all consents required for such monitoring and recording have been obtained before any Proxy Communication occurs. Customer acknowledges that certain jurisdictions require the consent of all parties to a communication before it may be recorded, and Customer is responsible for compliance with those requirements as applied to the End Users it invites into Proxy Communications. Aroom will make available a standard recording notice for Customer's use; use of that notice does not relieve Customer of its compliance obligations.

C. No Sensitive Use

Customer must not use the Feature to transmit, and must instruct its personnel not to transmit, protected health information subject to HIPAA, payment card data subject to PCI DSS, government-issued identification numbers, biometric identifiers, or other categories of sensitive data, except as expressly agreed in writing by Aroom.

5. Opt-In and Consent

A. Aroom Opt-In Form Required

Customer must collect End User consent to receive Proxy Communications only through the Opt-In Form provided or approved by Aroom. Customer must not modify, reproduce, replace, or substitute its own consent mechanism, and must not import, upload, or otherwise introduce contact records collected through any other means for use with the Feature.

B. No Messaging Without Opt-In

Customer must not send, or cause to be sent, any Proxy Communication to any individual who has not affirmatively opted in through the Opt-In Form, or who has subsequently opted out. Customer represents and warrants that every End User it introduces to the Feature has provided a valid, documented, prior express consent through the Opt-In Form.

C. Consent Records

Aroom will generate and store the consent record associated with each opt-in and opt-out, including the disclosures presented, the date and time of consent, and the identifier of the consenting End User. Aroom will retain these records as described in the Aroom Privacy Policy and will make them available to Customer on reasonable request for compliance and dispute-resolution purposes. Customer's obligation to comply with applicable law is not satisfied by Aroom's retention of these records.

D. Accuracy of Numbers

Customer is responsible for the accuracy of telephone numbers submitted to the Feature and for promptly removing or updating numbers it knows or should know have been reassigned or are no longer associated with a consenting End User.

6. Customer Compliance Obligations

Customer will comply with all laws, regulations, and industry standards applicable to its use of the Feature, including as applicable the Telephone Consumer Protection Act and its implementing regulations, the CAN-SPAM Act, state telemarketing and automatic dialing statutes, federal and state wiretap and communications-recording laws, state consumer data privacy laws, and applicable CTIA Messaging Principles and Best Practices and carrier requirements (including 10DLC brand and campaign registration requirements). Customer will provide Aroom with accurate registration information required by carriers and will promptly update it.

7. Data Protection

Communications Data may include Personal Information relating to End Users ("End-User Personal Data"). As between the Parties, Customer determines the purposes and means of processing End-User Personal Data generated through Customer's use of the Feature, and Aroom processes such data on Customer's behalf and in accordance with Section 17 of the Main Terms, these Supplemental Terms, and the Aroom Privacy Policy. Customer is responsible for providing End Users with any privacy notices required by law and for responding to End User requests to exercise data rights, with Aroom's reasonable assistance.

Mobile telephone numbers and SMS consent collected through the Feature are not shared by Aroom with third parties or affiliates for marketing or promotional purposes, and are excluded from interest-based advertising.

8. Suspension and Indemnification

A. Suspension

In addition to Aroom's rights under Section 7(D) of the Main Terms, Aroom may suspend or disable the Feature immediately, with notice where practicable, if Aroom reasonably believes Customer has messaged individuals without valid opt-in, failed to honor opt-outs, sent prohibited content, or triggered carrier violations, complaints, or blocking.

B. Indemnification

Without limiting Section 11 of the Main Terms, Customer will defend, indemnify, and hold harmless the Aroom Indemnitees against all Losses arising from (a) Proxy Communications sent to individuals who did not validly opt in through the Opt-In Form; (b) Customer's failure to honor an opt-out; (c) Customer's failure to obtain consents required for monitoring or recording; or (d) Customer's breach of these Supplemental Terms.

9. General

A. Changes

Aroom may revise these Supplemental Terms in accordance with Section 13 of the Main Terms. Aroom will notify Customer of significant changes, and changes become effective on the earlier of Customer's continued use of the Feature after notice or thirty (30) days after notice.

B. Survival

Sections 4, 5(C), 6, 7, 8, and 9 survive any disablement of the Feature or termination of the Main Terms.

C. Incorporation

These Supplemental Terms are incorporated into the Main Terms. All provisions of the Main Terms not expressly modified here — including the Limitation of Liability, Disclaimer, Arbitration, and Governing Law provisions — apply to the Feature.
